These General Terms and Conditions (GTC) apply to all contracts between IT Consulting Mueller LTD, Switzerland (hereinafter "Provider"), and its customers regarding the provision of software products and IT consulting and advisory services. Deviating terms and conditions of the customer shall not apply unless expressly agreed to in writing.
The Provider develops, distributes and makes available software products and provides advisory and services in the field of information technology. The type, scope and specific design of the services are determined by the respective individual contract documents, service descriptions or offers.
The software is provided "as is" and "as available". To the extent legally permissible, all guarantees and warranties, whether express or implied, are excluded. In particular, the Provider does not warrant that the software is available at all times, error-free or suitable for a particular purpose. Mandatory statutory warranty rights remain unaffected.
The contract enters into force upon signature by both parties and is concluded for an indefinite period unless otherwise agreed. Both parties may terminate the contract in writing with one month's notice to the end of the month. The right to terminate without notice for good cause remains unaffected.
The remuneration for software products and services is determined by the respective contract documents. Invoices are payable within 30 days from the invoice date without deduction. From January 1, 2025, all billing will be exclusively in Swiss Francs (CHF). The customer is obligated to ensure that payments are made exclusively in the agreed currency.
The Provider processes personal data exclusively in compliance with applicable data protection laws. Personal data of the customer will not be disclosed to third parties unless this is necessary for contract fulfillment or legally required. The processing of personal data is carried out in accordance with the Provider's current privacy policy. The customer has the right to information, correction and deletion of their personal data.
The Provider is liable without limitation for damages caused intentionally or through gross negligence. For slight negligence, the Provider is only liable for breach of essential contractual obligations. Further liability is excluded to the extent legally permissible.
The Provider reserves the right to amend or supplement these GTC.
The parties undertake to treat all information confidentially.
The Provider undertakes to comply with the requirements of the EU AI Act.
Exclusively Swiss law applies. The place of jurisdiction is the registered office of the Provider.
